Terms of Service

Last updated July 11, 2026. These terms govern access to Momentum OS, a service operated by Momentum Support Co-operation LTD, company number 17078117. They incorporate our Acceptable Use Policy at /acceptable-use, Plan Limits and Fair Use at /plan-limits-and-fair-use, Data Processing Addendum at /dpa, Privacy Policy at /privacy-policy, and Service Level Agreement at /sla.

1. Scope and acceptance

These terms apply to the website, application, APIs, portals, communications tools, AI features, and related services supplied by Momentum Support Co-operation LTD from 5 Brayford Square, London, E1 0SG, United Kingdom. If you use the platform for an organisation, you confirm you have authority to bind that organisation to these terms.

Where you have signed an order form or a separate written agreement with us, that document takes precedence over these terms to the extent it expressly conflicts with them. If you do not agree to these terms, do not use the service.

2. Accounts and workspace responsibility

You are responsible for maintaining the confidentiality of account credentials, configuring appropriate roles and permissions, enabling multi-factor authentication for your users, and ensuring the information you provide is accurate and current.

Customers are responsible for the actions of their users, agents, contractors, connected applications, and anyone who accesses the workspace using their credentials or invitation flow.

3. Acceptable use

You may use Momentum OS only for lawful business purposes and in line with applicable laws, telephony and messaging rules, privacy and consent obligations, and our Acceptable Use Policy at /acceptable-use, which forms part of these terms.

You must not misuse the service, attempt unauthorised access, interfere with system security or integrity, upload malicious code, reverse engineer restricted parts of the platform except where law prevents that restriction, or use the service to send unlawful, deceptive, abusive, or infringing content.

4. Customer data and instructions

You retain responsibility for the CRM, HR, commerce, communication, document, and operational data you place into the platform, and you must have the rights and permissions needed to collect, upload, process, and share that data through the service.

We process customer data to provide and secure the service, follow your documented instructions, improve reliability, and comply with law. The Data Processing Addendum at /dpa applies where we process personal data on your behalf as your processor.

5. AI and automation features

The platform may generate summaries, notes, recommendations, classifications, workflow actions, and suggested responses. AI output is intended to support operations, not to replace human judgment on legal, compliance, financial, HR, medical, or other high-risk matters.

You are responsible for reviewing AI-generated content before it is sent externally, saved to regulated records, or used to make material decisions affecting customers, staff, or commercial commitments.

6. Integrations and third-party services

Momentum OS may connect with third-party services such as email, telephony, calendar, identity, payment, and analytics providers. Your use of those services may also be governed by separate third-party terms and privacy notices, and those providers are listed in our Subprocessor Notice at /subprocessors.

We are not responsible for outages, policy changes, pricing changes, authentication failures, or data issues caused by third-party services outside our reasonable control.

7. Plans, fees, and billing

Momentum OS is offered across a range of plans, from a free tier through Starter, Growth, Enterprise, and Enterprise+, each with its own seat and usage allowances set out in Plan Limits and Fair Use at /plan-limits-and-fair-use. Paid plans require subscription fees, and some features carry usage-based charges or pass through third-party provider fees such as telephony, messaging, model, or payment-processing costs.

Fees are billed in advance for the applicable subscription period unless your order form states otherwise, and taxes are added where required. Unless your order form or applicable law provides otherwise, fees are non-refundable and paid subscriptions renew automatically for successive terms until cancelled in line with the notice period in your plan or order form.

8. Suspension and termination

We may suspend or limit access if invoices remain overdue, if a serious security, abuse, or legal risk is detected, or if continued service would create material legal or operational risk. Where practicable we will give notice and an opportunity to resolve the issue first, except where immediate action is needed to protect the service or others.

Either party may terminate in line with the notice and renewal terms in the applicable order form, subscription, or written agreement, or for uncured material breach. On termination your right to access the service ends, subject to any agreed export or wind-down period, and the return-and-deletion terms of the Data Processing Addendum at /dpa apply to personal data.

9. Intellectual property and feedback

Momentum OS and its software, design, trademarks, workflows, and related materials remain our property or the property of our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service during the agreed subscription term. As between the parties, you retain all rights in the data you upload.

If you provide feedback, suggestions, or product ideas, we may use them without restriction or obligation unless a separate written agreement says otherwise.

10. Warranties, disclaimers, and availability

We provide the service with reasonable skill and care and aim to maintain the availability targets described in our Service Level Agreement at /sla. Except as expressly stated in these terms or a signed agreement, the service is provided on an 'as available' basis.

To the fullest extent allowed by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant uninterrupted or error-free operation or that every feature will suit every business, jurisdiction, or regulated use case.

11. Limitation of liability

To the fullest extent allowed by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business opportunity arising from use of the service. Our total aggregate liability arising out of or in connection with the service is limited to the fees paid or payable by the customer for the service in the twelve months before the event giving rise to the claim, unless a signed agreement states otherwise.

Nothing in these terms excludes or limits liability that cannot legally be excluded, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

12. Governing law and disputes

These terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless a signed agreement provides otherwise or mandatory local law requires a different forum.
